OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.

These Official Rules contain provisions that govern how claims you and we may have against each other are resolved (see Disputes Section below), including an agreement and obligation to arbitrate disputes, which will, subject to limited exceptions, require you to submit claims you have against us to binding arbitration, unless you opt-out in accordance with the Disputes Section.

ELIGIBILITY: Only open to legal United States residents, 18 years of age or older. Not open to employees, contractors, officers or directors — or to members of the immediate family or household of any of the foregoing — of The Bank of Missouri (Sponsor, we or us), Atlanticus Holdings Corporation, or any of their respective parents, subsidiaries, affiliates, or any advertising or promotion agencies involved in this Sweepstakes promotion (collectively, the Sweepstakes Entities).

SWEEPSTAKES PERIOD: The Aspire Sweepstakes (the Sweepstakes) begins on October 01, 2024 at 12:01:01 a.m. Eastern Time (ET), and ends on October 31, 2024 at 11:59:59 p.m. ET (the Sweepstakes Period). The Sponsor's database computer is the official time-keeping device for this Sweepstakes. Similar offerings may occur in other months, but each such offering is separate. Entry into this Sweepstakes is not entry into to any drawing in any similar program associated with any other month.

HOW TO ENTER: There are two ways to enter:

1. If you are an account holder with an Aspire card or account (Account Holder), simply log-in to your applicable online Account Center during the Sweepstakes Period, click on the Sweepstakes banner or link under the My Promotions tab, and select Enter after reading the Official Rules. Log-in is free. You will receive one (1) additional entry during the Sweepstakes Period each subsequent day you visit your Account Center and enter the Sweepstakes in the same manner as your initial entry.

2. If you are not an account holder with an Aspire card or account, visit the website https://www.aspire.com/sweepstakes (the Website), and follow instructions to complete the entry process with the information required in the official entry form. You will receive one (1) additional entry during the Sweepstakes Period each subsequent day you visit the Website and enter the same information you provided during your initial entry.

Limit one (1) entry per person, and mail address per day (measured by ET), regardless of method of entry or number of different cards such person may hold. Entries found to be in excess of this limit will be disqualified. Any attempt by a person to enter more than the allowed number of entries may result in disqualification. Use of any macro, bot, script or other automated means to submit entries is prohibited. By participating in the Sweepstakes, you unconditionally accept and agree to comply with and abide by these Official Rules and all decisions of the judges, which shall be final and binding in all respects. All entries must be received by the end of the Sweepstakes Period.

WINNER SELECTION AND NOTIFICATION: The winner of the Sweepstakes will be randomly selected, on or about three (3) days after the close of the Sweepstakes Period, from among all eligible entries received. Each potential winner will be notified by telephone, mail and/or email using the contact information given at the time of entry. No liability is assumed for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If a potential winner does not respond within five (5) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.

PRIZE/ODDS: One (1) prize of $500 is available. Prize will be awarded in the form of a statement credit if the winner is an Account Holder, or a prepaid general-purpose electronic debit/gift card if not an Account Holder. Electronic Debit/gift cards are subject to the standard terms from the issuer. Any person who has won in a similar monthly promotion offered by Sponsor and associated with the Aspire brand of credit and/or retail credit cards in the 12-month period prior to the Sweepstakes Period is not eligible to win again.

No cash alternative or prize substitutions will be allowed, except in Sponsor's discretion. A substitute of comparable or greater value may be awarded if any prize listed becomes unavailable for any reason. Odds of winning depend on the number of eligible entries received. Sweepstakes is open to more than 200 million internet users in the United States.

GENERAL PRIZE CONDITIONS: Each potential winner (a) is responsible for all federal, state and/or local taxes, and for any other fees or costs associated with acceptance or use of any prize, and (b) may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (collectively, Prize Claim Documents). If a winner is not of legal age of majority in his or her state of residence (a minor), at Sponsor's option, the applicable prize either may be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner may be required to ratify and sign all Prize Claim Documents.

GENERAL PROVISIONS: Acceptance of a prize constitutes winner's permission for Sponsor to use winner's name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation except where prohibited by law. You (and if you are a minor, your parent or legal guardian) agree that the Sweepstakes Entities (a) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from acceptance, receipt, possession and/or use or misuse of any prize, and (b) have not made any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for a particular purpose.

No responsibility is assumed for any damage to your computer system which is occasioned by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays. Without limiting the generality of the foregoing, no responsibility is assumed for incomplete, illegible, misdirected, misprinted, forged, tampered with, altered, late, lost, damaged, stolen, or postage-due submissions, prize notifications or other Sweepstakes materials, all of which are void; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.

Any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, may be disqualified, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

In the event of a dispute as to the identity of the entrant, any on-line entry will be deemed submitted by the authorized account holder of the e-mail address associated with the entry (in the case of an Account Holder, the address in the person's account in the Account Center); provided such person must still meet the eligibility requirements for the Sweepstakes. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes, in whole or in part, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other unintended circumstances have impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select winner(s) in a random drawing from all eligible, non-suspect entries unaffected by the problem. Inclusion in such drawing shall be each entrant's sole and exclusive remedy in such circumstances.

Only the type and quantity of prizes described in these Official Rules will be awarded. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be each entrant's sole and exclusive remedy in such circumstances.

DISPUTES; ARBITRATION PROVISION: Except as otherwise stated below, any Claim (as defined below) will be resolved by binding arbitration pursuant to (a) this Arbitration Provision and (b) the Code of Procedure of the national arbitration organization to which the Claim is referred (as in effect when the Claim is filed). Claims will be referred to either Judicial Arbitration and Mediation Services (JAMS) or the American Arbitration Association (AAA), as selected by the party electing to use arbitration. Streamlined arbitration procedures will be used if available. If a selection by us of one of these organizations is unacceptable to you, you have the right, within 30 days after you receive notice of our election, to select the other organization listed to serve as arbitration administrator. For purposes of this Arbitration Provision, Claim means any claim, dispute or controversy (whether in contract, tort, or otherwise), past, present or future, (collectively, Claims) as further described below. (If for any reason a selected organization cannot, will not or ceases to serve as an arbitration administrator, you or we may substitute another widely recognized arbitration organization that uses a similar code of procedure and is mutually acceptable to the parties.)

Right To Reject Arbitration. You may reject this Arbitration Provision. If you do so, neither you nor we will have the right to engage in arbitration. Rejecting this Arbitration Provision will have no effect on any of the other provisions in these Official Rules. To reject this Arbitration Provision, you must send us your written rejection within ten (10) days after entering the Sweepstakes, to Account Services Dispute Resolution, P.O. Box 105096, Atlanta, GA 30348-5096; ATTN: Consumer Credit Arbitration. In your letter, you must give us the following information: Name, Address and month of the Sweepstakes you have entered. The right to reject granted here applies solely to this Arbitration Provision, and not to any other provision of these Official Rules, or to any other agreement you have with any of the Sweepstakes Entities. In the event of a dispute over whether you have provided a timely rejection notice, you must provide proof of delivery. Neither party may elect to arbitrate an individual Claim brought in small claims court (or your state's equivalent court, if any). However, if a Claim that is brought in small claims court is transferred or appealed to a different court, either party may elect arbitration.

Significance of Arbitration; Limitations and Restrictions. IF YOU OR WE CHOOSE TO RESOLVE A CLAIM BY BINDING ARBITRATION, NEITHER YOU NOR WE WILL HAVE THE RIGHT TO (i) HAVE A COURT OR JURY DECIDE THE CLAIM BEING ARBITRATED (ii) ENGAGE IN PRE-ARBITRATION DISCOVERY (THAT IS, THE RIGHT TO OBTAIN INFORMATION FROM THE OTHER PARTY) TO THE SAME EXTENT THAT YOU OR WE COULD IN COURT, (iii) PARTICIPATE AS A REPRESENTATIVE OR MEMBER OF ANY CLASS OF CLAIMANTS IN A CLASS ACTION, IN COURT OR IN ARBITRATION, RELATING TO ANY CLAIM SUBJECT TO ARBITRATION OR (iv) JOIN OR CONSOLIDATE CLAIMS OTHER THAN YOUR OWN OR OUR OWN. OTHER RIGHTS AVAILABLE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION.

Except as set forth below, the arbitrator's decision will be final and binding. Only a court may decide the validity of items (iii) and (iv) above. If a court holds that items (iii) or (iv) are limited, invalid or unenforceable, then this entire Arbitration Provision will be null and void. You or we can appeal any such holding. If a court holds that any other part(s) of this Arbitration Provision (other than items (iii) and (iv)) are invalid, then the remaining parts of this Arbitration Provision will remain in force. An arbitrator will decide all other issues pertaining to arbitrability, validity, interpretation and enforceability of this Arbitration Provision. The decision of an arbitrator is as enforceable as any court order and may be subject to very limited review by a court. An arbitrator may decide a Claim upon the submission of documents alone, or a party may request a telephonic hearing if permitted by applicable rules. The exchange of non-privileged information relevant to the Claim, between the parties, is permitted and encouraged. Either party may submit relevant information, documents or exhibits to the arbitrator for consideration in deciding a Claim.

Broad Meaning of Claims. The term Claims in this Arbitration Provision is to be given the broadest possible meaning with respect to any matters relating in any way to the Sweepstakes, including but not limited to Claims regarding the validity, enforceability or scope of this Arbitration Provision or this Agreement.

Arbitration Procedure and Costs. If either party fails to submit to arbitration following a proper demand to do so, that party will bear the costs and expenses, including reasonable attorneys' fees, incurred by the party compelling arbitration. Any physical arbitration hearing that you attend will be held in the federal judicial district where you live at the time the Claim is filed. The party initiating the arbitration will pay the filing fee. You may seek a waiver of the initial filing fee or any other fees incurred in arbitration. If you seek, but do not qualify for, a waiver, we will consider any written request by you for us to pay or reimburse you for all or part of such fees. Each party will pay for its respective attorneys', experts' and witness fees, regardless of which party prevails in the arbitration. A party may recover any or all expenses from another party if the arbitrator, applying applicable law, so determines. Allocation of fees and costs relating to appeals in arbitration will be handled in the same manner. The appropriate fee schedule in effect from time to time is hereby incorporated by reference into this Arbitration Provision. The cost of arbitration may be higher or lower than the cost of bringing your Claim in court, depending upon the nature of your Claim and how the arbitration proceeds. Having more than one Claim and holding face-to-face hearings can increase the cost of arbitration. Again, neither you nor we will be permitted to arbitrate claims on a class-wide (that is, on other than an individual) basis. An arbitration proceeding can decide only your or our Claims.

Governing Law for Arbitration. This Arbitration Provision is made pursuant to a transaction involving interstate commerce, and will be governed by the Federal Arbitration Act (FAA), 9 U.S.C. §§ 1 et seq., as amended, notwithstanding any other governing law provision in this Agreement. The arbitrator will apply applicable substantive law consistent with the FAA and applicable statutes of limitations and will honor claims of privilege recognized at law. Judgment upon any arbitration award may be entered and enforced, including without limitation by garnishment, attachment, foreclosure or other post-judgment remedies, in any court having jurisdiction. The arbitrator's decision will be final and binding, except for any right of appeal provided by the FAA, in which case any party can appeal the award to a three-arbitrator panel administered by the selected arbitration administrator. The panel will reconsider de novo (that is, without deference to the ruling of the original arbitration) any aspect of the initial award requested by the appealing party.

Continued Effect of Arbitration Provision. If any portion of this Arbitration Provision (other than the provisions prohibiting class-wide arbitration, joinder or consolidation) is deemed invalid or unenforceable under the FAA, it will not invalidate the remaining portions of this Arbitration Provision. If a conflict or inconsistency arises between the code of procedures of the selected arbitration administrator and this Arbitration Provision, this Arbitration Provision will control.

For any Claim not resolved via arbitration as set forth above, you consent to the exclusive jurisdiction of the state and federal courts in Atlanta, Georgia for resolution of the Claim and waive any objection thereto. In any such court action, to the extent allowed by applicable law, you agree that such Claim shall be resolved individually without resort to any form of class action.

Without limiting any other provision above, any Claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees; and under no circumstances will you be permitted to obtain any award for, and you hereby waive all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses. For residents of New Jersey: Nothing herein bars recovery of damages or attorneys' fees where mandated by statute.

These Official Rules and any Claims relating hereto (other than relating to enforceability of arbitration under the FAA as specified above) are governed by the internal laws of the State of Georgia without regard to principles of conflicts of laws.

WINNER NAME: For the name of the prize winner, available approximately ten (10) days after the end of the Sweepstakes Period, send an email to service@aspire.com with your request, and be sure to identify the month of the Sweepstakes Period. Requests must be received within 60 days after the end of the Sweepstakes Period.
